B. Jason Forshee is a seasoned transaction attorney with more than 20 years of experience in both top-tier law firm and in-house environments representing clients in domestic and international corporate mergers, reorganizations, acquisitions and divestitures; joint ventures; securities offerings and other corporate finance transactions; business entity formations; and private equity and other investment fund formations. Jason also regularly counsels clients in everyday matters, including corporate governance, corporate and partnership/LLC law issues and commercial agreements.

In addition to his corporate law practice, Jason holds a Master of the Laws (LL.M.) degree from Georgetown University Law Center in Taxation and regularly advises clients on the federal, state and local and international tax aspects of various business transactions, including corporate mergers, reorganizations and acquisitions, formation of investment funds, acquisitions and dispositions of portfolio companies, partnership mergers and conversions, portfolio debt investments and workouts, choice of business entity and real estate transactions.

In addition, Jason has advised clients with regards to various tax controversy matters at the federal, state and local levels including redetermination hearings, dispute resolution conferences, offers in compromise, voluntary disclosures, and franchise tax refund litigation.

Prior to joining Exall, Jason was a corporate and tax partner in Egan Nelson LLP, Patton Boggs LLP and Strasburger & Price LLP and served as in-house Senior Tax Counsel at Dell Inc.
